Terms of Service

Welcome to The Modern Drive. These Terms of Service (the “Terms”) form a binding agreement between you (either personally or on behalf of the business you represent — “you”) and Gideon Codeworks LLC (“we,” “us,” or “The Modern Drive”). By creating an account or using the Service, you agree to these Terms.

1. The Service

The Modern Drive is a web-based software application that lets contractors create estimates, send invoices, collect payments, schedule jobs, upload photos, and manage their business. The Service is provided on an as-is, as-available basis.

2. Your account

You must be at least 18 years old and legally able to enter contracts. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately if you suspect unauthorized access.

3. Trial + subscription

New accounts start with a 14-day free trial. If you continue after the trial, you subscribe to one of our published plans at the price shown at signup. Fees are billed monthly (or annually if you selected annual). You can cancel at any time from Settings → Billing; access continues through the end of the paid period.

Some accounts are sponsored (comp’d) by a third party (for example, a Gideon Codeworks web-services client). Sponsored accounts do not pay a subscription fee. If sponsorship ends, the account reverts to the standard trial/plan flow.

4. Customer payments (Stripe Connect)

Payments from your own customers are processed by Stripe under a Stripe Connect account you control. Funds land in your bank, not ours. Stripe’s standard processing fees apply to card + ACH transactions. We do not charge a platform fee on your customer payments.

5. Refund policy

Subscription fees are non-refundable except where required by law. If you cancel mid-cycle, you keep access through the paid period — we do not prorate.

6. Your content, your customers

Everything you put into the Service — customers, projects, estimates, invoices, photos, notes — belongs to you. You grant us a limited license to store, process, and display that content solely for the purpose of operating the Service on your behalf. We do not use your content to train AI models or sell it to third parties.

You represent that you have the rights to any content you upload and that your use of the Service complies with applicable laws (including tax collection, contractor licensing, and any jurisdiction-specific rules for the trades you work in).

7. Acceptable use

You agree not to:

  • Use the Service to send unsolicited or fraudulent invoices.
  • Attempt to access another contractor’s tenant, data, or account.
  • Reverse engineer or copy the Service for a competing product.
  • Use the Service to violate applicable laws or third-party rights.
  • Overload our infrastructure (excessive automated requests, scraping).

We may suspend or terminate accounts for material or repeated violations at our discretion.

8. Service availability

We aim to keep the Service running reliably but do not guarantee uninterrupted access. Planned maintenance and unforeseen outages may occur.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE MAKE NO GUARANTEE THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIDEON CODEWORKS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF YOU HAVE PAID NOTHING).

11. Termination

You can cancel at any time. We can suspend or terminate your account for breach of these Terms, with notice where practical. On termination, you can export your data by contacting us within 30 days; after that we may delete it.

12. Changes

We may update these Terms from time to time. Material changes will be posted here with a new “Last updated” date, and, where required, notified to you by email. Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles. Any disputes will be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio.
